Terms of Service

1. Acceptance of Terms

By creating an account, installing, or using RadPal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms are a legally binding agreement between you ("User," "you") and RadPal LLC ("RadPal," "we," "us," or "our").

RadPal is intended for licensed healthcare professionals. By using the Service, you represent that you are a licensed medical professional or are using the Service under the supervision of one, and that you are at least 18 years of age.

4. Account Registration

You must create an account to use RadPal. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use.

5. Subscription Plans and Pricing

Free Trial

New users receive a 14-day free trial with full Pro features. No credit card is required. The trial is limited to two activations per device to prevent abuse.

Paid Plans

After your trial, you may subscribe to the Impression tier ($89/month or $890/year) or the Pro tier ($149/month or $1,490/year). Pricing is subject to change with 30 days' notice to existing subscribers.

Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or yearly) at the then-current price. You will be charged through your selected payment method unless you cancel before the renewal date. You may cancel at any time through the Stripe billing portal or by contacting support.

6. Payment and Billing

All payments are processed by Stripe. By subscribing, you authorize RadPal to charge your payment method for recurring subscription fees. If a payment fails, you will have a 3-day grace period during which your features remain accessible while Stripe retries the payment. After the grace period, your account will be downgraded until payment is resolved.

7. Refund Policy

Refunds are handled on a case-by-case basis. If a refund is issued, access to paid features will be revoked immediately upon processing of the refund. To request a refund, contact support@radpal.ai.

8. Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will be downgraded and paid features will no longer be available.

9. Permitted Use

You may use RadPal to:

• Generate AI-assisted draft radiology reports and impressions
• Use voice dictation for clinical documentation
• Manage report templates and custom rules
• Reference clinical guidelines

All use must remain under direct physician supervision and review.

10. Prohibited Use

You agree not to:

• Use the Service in place of professional medical judgment
• Represent RadPal as FDA-approved or clinically validated
• Provide direct patient-facing services using RadPal output without physician review
• Reverse engineer, decompile, or extract source code, prompts, or models
• Share account credentials or allow unauthorized access
• Use the Service to train or benchmark competing systems
• Circumvent device limits, trial restrictions, or subscription enforcement
• Use the Service for any unlawful purpose

11. Health Data, PHI, and De-Identification

RadPal is designed to process de-identified clinical text only. The Software reads clinical narrative text (such as radiology findings) from your dictation software and transmits it to third-party AI providers solely to generate assistive draft content. RadPal does not read, capture, or transmit patient demographic information or any of the eighteen (18) categories of identifiers defined under 45 C.F.R. § 164.514(b)(2) of the HIPAA Privacy Rule.

You must not enter, dictate, or otherwise input Protected Health Information (PHI) into RadPal. This includes patient names, dates, medical record numbers, and any information that could reasonably identify an individual patient. By using RadPal, you represent and warrant that all text processed by the Software has been de-identified and contains no PHI.

Because RadPal processes only de-identified clinical text and prohibits the input of PHI, RadPal does not create, receive, maintain, or transmit PHI on behalf of any covered entity. RadPal is not a Business Associate as defined under HIPAA (45 C.F.R. § 160.103), and no Business Associate Agreement is required or implied.

All text transmitted to AI providers is processed under zero data retention policies and is not used for model training. You are solely responsible for HIPAA, HITECH, and all applicable privacy law compliance at your institution, including ensuring that no PHI is entered into RadPal.

If you transmit PHI through RadPal in violation of these terms, you do so at your own risk. RadPal shall have no liability for any unauthorized disclosure, breach, or regulatory consequence arising from your transmission of PHI.

12. Intellectual Property

RadPal and its content, features, and functionality are owned by RadPal LLC and are protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service. No ownership rights are transferred.

13. Feedback

Any feedback, suggestions, or ideas you provide may be used by RadPal without restriction or compensation.

14. Updates and Changes

RadPal may modify features, push updates, or change functionality at any time. We will provide notice for material changes that significantly affect your use of the Service.

15. Termination

We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or for any other reason at our sole discretion. Upon termination, you must cease use and uninstall the Software. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

16. Disclaimer of Warranties

The Service is provided "as is" and "as available." RadPal disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, and clinical suitability. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete.

17. Limitation of Liability

To the maximum extent permitted by law, RadPal shall not be liable for clinical or medical outcomes, data loss, interruption of work, or indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability shall not exceed the amount you paid to RadPal in the twelve (12) months preceding the claim.

18. Indemnification

You agree to indemnify and hold harmless RadPal LLC, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, clinical use of AI-generated output, violation of these Terms, or violation of applicable laws or regulations.

19. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in California.

20. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

21. Entire Agreement

These Terms, together with our Privacy Policy and the End User License Agreement presented during installation, constitute the entire agreement between you and RadPal regarding the Service.
